HSBC look to aquire 70% share in Old Mutuals Nedbank Group

In a press release earlier today Old Mutual Plc, announced that majority owned South African banking Subsidiary, Nedbank Group Limited, has received a proposal from HSBC Holdings Plc to acquire a 70% controlling interest in the South African banking Group.

An initial assessment from the Nedbank Group (NED)reveals that they consider HSBC to be an excellent international banking partner that would enhance the groups ability to strengthen their position in South Africa and other African Markets.

Old Mutual have granted HSBC Holdings a period of exclusivity in order that the company may carry out due diligence and inter alia of Nedbank Group as well as a few other regulatory approval processes.

Nedbank Group have advised share holders to proceed with caution when dealing with group securities whilst this process continues, this is due to the likelihood of the announcement having a material effect on the value of NED securities.

If the proposal proceeds with approval from the South African Reserve Bank (SARB), the registrar of Banks and the Finance Minister, then the transaction and specifically the transfer of £1.5 billion to Old Mutual would be managed in such a manner as not to effect the South African Currency markets.

Intel Buys Software Security Company McAfee for $7.68 Billion

In a move to bring together the need for online security in hardware Intel, the silicon chip company, have aquired Internet security software specialists McAfee for a total sum of $7.68 Billion in cash.

The software security technology company was founded in 1987 and is the worlds largest. McAfee had revenues of around $2 Billion in 2009 and is growing in strength and is the perfect software partner for Intel in their effort to marry security technologies into their hardware.

“With the rapid expansion of growth across a vast array of Internet-connected devices, more and more of the elements of our lives have moved online,” said Paul Otellini, Intel president and CEO “In the past, energy-efficient performance and connectivity have defined computing requirements. Looking forward, security will join those as a third pillar of what people demand from all computing experiences.”

Intels acquisition of McAfee has been approved by both boards of directors and is awaiting agreement from the shareholders and regulators. Intel will buy McAfee’s (MFE) holding share stock at a rate of $48 per share which was around a 55% markup on the listed share price when the deal was announced on Wednesday, McAfee (MFE)  shares have now risen to near the value of the deal price at around $47 per share.

This latest acquisition by Intel follows the companies purchase of Wind River last year for a reported $884 million adding to the company a software company with a presence in the consumer electronics markets.

An FTC ruling that takes effect on October 27th 2010 will stop debt settlement companies from taking any fees upfront. The rule is an ammendment to Telemarketing Sales Rules, and will stop debt settlement companies that opperate on a for profit basis from collecting advance fees over the telephone before they take any action to settle or reduce a customer’s unsecured debts.

Chairman of the FTC, Jon Leibowitz said. “This rule will stop companies who offer consumers false promises of reducing credit card debts by half or more in exchange for large, up-front fees. Too many of these companies pick the last dollar out of consumers’ pockets – and far from leaving them better off, push them deeper into debt, even bankruptcy.”

The final rule, regarding debt settlement and debt relief companies, places specific requirements on these providers and requires that they not charge any upfront fees and that any such fees are only payable on performance.

This rule will now allow consumers to contact debt settlement specialists with the confidence that any solutions will not put them further into debt and that they will not have to pay a dime until there debt situation is improved.

According to Alan Greenspan, Former Federal Reserve Chairman, “We’re in a pause in a recovery, a modest recovery, but a pause in the modest recovery feels like a quasi-recession.” Furthermore, it was indicated by Greenspan that the economic downturn might resume should US home prices continue to go down.

“It is possible if home prices go down. Home prices, as best we can judge, have really flattened out in the last year,” Greenspan said. Because of the slow economic growth and the problems with the real-estate and housing market, it is feared that the recession could take a reverse in direction and resume its stance before the economy can take a complete recovery.

The economic outlook is quite uncertain at the moment, though Greenspan anticipates that the unemployment rate will continue to remain steady throughout the rest of the year. He further mentioned the negative effects of long-term employment on bringing apart the economy, in spite of the large corporations and banks still doing very well.

4G-Wireless

In what is to be a more convenient offering of wireless services to consumers, Best Buy has managed to obtain agreement from Clearwire for the rental of network space. Best Buy is the first non-investor and wholesale customer to form such an agreement with Clearwire, but their wholesale rates are not the same as other cable companies as they don’t get the preferred wholesale rate, not having a “most favored nation” status.

Nintendo-Wii

In a quarterly earnings statement, it was reported that Nintendo had made a net loss of about $289 million, sharply contrasting the high profits that they made in the same period last year.

In spite of still holding the position of the industry leader, with the strong popularity of the Nintendo Wii and the Nintendo DS, sales are starting to fall with some increasing strength in the developments of the Sony PS3 and the Microsoft XBox 360.

The future looks to be taking an unexpected turn as Sony and Microsoft prepare to release their own versions of the motion-sensing controllers that have made the Wii so popular.

However, things may not go all that well for competitors as Nintendo prepares to release their Nintendo 3DS, a first in the area of glasses-free 3D gaming.

Demand for the games on the Nintendo Wii console have not been all that overwhelming as well, causing a reduction in the software sales. The lack of popular series is a cause for concern and only the future will tell the tale of the battle between the three gaming giants.

“Many investors are in a tug-of-war between the outlook for a weak first half and expectations for the new DS model in the second half,” said Mitsushige Akino, an overseer at Ichiyoshi Investment Management Co. in Tokyo.

Motorola

Profits seem to be skyhigh for Motorola, as they had recently reported an increase of six-times in their second-quarter profit. Getting enough profit is essential for the mobile company if they want to be able to make it through as a separate entity.

The increase in profits is owing strongly to the continued popularity of their Droid device, as well as the recently released Droid X. The company plans to spilt in the first quarter, thus forming two separate entities sharing the Motorola brand.

However, in spite of the higher profits, it was reported that revenues were slightly lowered.

“In the second quarter, our Enterprise Mobility Solutions and Networks businesses continued to deliver best-in-class market leadership and financial returns, with strong operating earnings and excellent cash generation,” announced Greg Brown, co-CEO of Motorola.

The other co-CEO, Sanjay Jha, stated that, “The Droid X launch has been very well received and is seen as one of the best smartphones in the market today. As we continue to execute on our business strategy, we are in a strong position to continue improving our share in the rapidly growing smartphone market and improving our operating performance.”

Sony has ordered for the recall of several of its popular Sony VAIO brand of computer laptops due to the risk of overheating that could potentially burn the laptop users.

The recall comes after a recall in May by the HP company for its laptop batteries due to possible fire outbreaks due to overheating.

As reports came in that the overheating laptops were causing damage to parts such as casing, the number of recalls in the US reached over 200,000 the previous week . Fortunately, no injuries were reported with the occurences.

The recall was ordered by the American Consumer Product Safety Commission due to the complaints on the product.

“Recently, we became aware of a potential issue affecting certain units within the VPCF11 and VPCCW2 series of notebook PCs,” mentioned Mike Lucas, senior vice president of Vaio for Sony.

The problem that was being faced by Dell computers more than five years ago is something fairly well known, and that they sold PCs with faulty capacitors had been a hot topic.

It seems that, based on information from recently unsealed court documents that the computer giant was well-aware of the issue. However, in spite of the fact, they had continued to sell the PCs still.

Though the company acknowledged that the faults had caused problems for computers, there is more to the story. “Dell did not knowingly ship faulty motherboards, and we worked directly with customers in situations where the issue occurred,” it was stated by a company spokesperson.

Though it is a fact that the company did not create the capacitors that were faulty, yet they still had the responsibility to deal with the problem through recalls and through prevention of the occurrence.

However, the event that took place saw Dell covering up their faults and trying to produce excuses that blamed customers.

The company has recently set aside $100 million in preparation for legal settlement as it continues to negotiate with the Securities and Exchange Commission for charges against them based on accounting violations.

It was stated in the the A.I.T. lawsuit documents that the company discovered the faulty parts in January 2004, and that by 2005, it was still investigating the problems and complains. During this time, three bad batches of the bulging parts were received by the company.

Though the threat of decline in sales for the company in days to come remains a very real issue, another Dell spokesperson, David Frink, put aside the issue as being old news, and stated that the company doesn’t incorporate the parts into their  assembly anymore.

The events raised a very real issue of corporate social responsibility for the company and its customers.

In a bold move by the world’s leading search engine company that could potentially change the way we buy our airline tickets, Google has announced on July 1st that it will buy travel data giant ITA for $700 million.

Google CEO Eric Schmidt said, “We believe we can help solve the online travel problem and help improve the online travel ecosystem. We think we can drive even more business to airlines and do something quite different than what’s out there.”

Although it was later noted by the CEO that Google was not planning to sell tickets, but rather direct consumers to websites that would best fit their ticket purchasing needs.

Airlines and online travel websites around the world, such as Orbitz, TripAdvisor, and others obtain their flight pricing and organization services from ITA. This move could potentially mean even more trouble for traditional offline flight booking outlets as they have already suffered a lot from the transition from offline to online airline tickets.

The e-reader wars keep getting hotter and hotter with e-reader companies such as Amazon and Sony cutting their product prices left and right. Will they soon be paying buyers to use these digital devices?

Amazon is planning to cut the prices of its Kindle DX from $489 to $379.

Electronics giant, Sony, has also cut down the prices on their electronic book readers in order to keep up with Amazon’s strategic play. And it’s not just the two of them either, as Barnes & Nobles has also followed suite.

According to Sony’s spokesperson, Valeria Motis, the price was dropped from around $350 to $300.

All three rival devices easily download eBooks through wireless connections, along with such similar capabilities.

However, in an unexpected move, apart from cutting down the prices, Amazon made it’s new Kindle DX available in a special graphite shade, which is sure to attract customers who are tired of getting their white Kindles dirty.

Today Wednesday 2 June Ford announced that they will discontinue the Mercury Brand in the fourth quarter. This is due to a planned expantion of the Lincoln brand and lineup with 7 new fresh offerings planned over the next 4 years.

The Mercury Brand came to life in 1938 as an intermediate alternative to the High End Lincoln and the economy Ford. Through nearly 72 years of production the Mercury Brand has had many models culminating in their current 2 models the Milan and Mariner.

In 2009 Mercury accounted for 0.8% of Ford’s 16% market share whilst Ford itself enjoyed a 2.2 point increase.

Ford have made it clear that they will still support Mercury owners through their Ford and Lincoln dealers. They have also stated that they don’t anticipate any dealer closures since there are currently no dealerships that deal with only the Mercury Brand.

Second: How to Find a Lawyer

As always, it’s best to talk to people you know to see if they might have recommendations. If someone strongly recommends their business lawyer, you should add the name to your list of candidates, but don’t make a decision too quickly. You can add to your list by doing an Internet search and by visiting directories of local lawyers. Be aware, though, that many directories are paid, so referrals may not be any better than looking at advertisements. Visit a lawyer’s website to find out if the information there makes you feel more confident in the lawyer’s skill to represent your business. You should have a significant list of lawyers to choose from at this point.

Third: Choosing a Business Lawyer

The first thing to do is write a short but thorough summary of why you need a lawyer. This will help you be clear about what you need in a lawyer and help ensure you get a lawyer who can do all the things you need them to do. Be sure to note any special legal aspects to your business.

Next, visit lawyers’ websites and see if a business lawyer seems to do what you want them to do for you. If you can find a list of representative clients, see if there are any in it that are similar to your business. Then contact a lawyer and ask for references and a list of representative clients (if there wasn’t one on the website). Use this information to narrow your list to a few lawyers.

Next, schedule consultations with lawyers. Use your summary to convey your needs quickly and effectively and listen to how the lawyer responds. If their response brings up more questions, ask and see if you get good answers. Then ask yourself:

Does the lawyer have all the skills I need?
Is the lawyer interested in being my lawyer and not my business planner?
Does the lawyer communicate well?
Are the lawyer’s fees reasonable?
Is the lawyer’s office convenient to my office?
Do I feel comfortable with the lawyer?

Although the last question is often used mostly as a tiebreaker between lawyers, you should make it a necessary question. Never work with a lawyer with whom you don’t feel comfortable.

1. They have job skills that are not in demand. If you are one of many who spent your life working in an industry that has fallen on hard times, you know how difficult it is to find work. While certain job skills are transferable, hiring managers’ in tight markets want the complete package. They want people with industry knowledge and job related skills. They want someone who will contribute DAY ONE! If you owned a computer business and were looking to hire a sales person, would you rather hire someone with a successful track record selling homes or computers?

2. They have below average backgrounds. In our industry, these people are referred to as “job hoppers”. They have shown short term success but fail to show any long term stability. They always chased the next big thing, spending 1-2 years before seeking greener pastures. In good times these people do fine, however, in today’s market, the gaps in their resumes are the kiss of death. The problems these individuals faced in their past cannot be changed. This is a hard pill to swallow, especially when reminded of their poor choices by every employer they approach. I often hear them explain in detail why it made sense for them to make these job moves. As much as I sympathize with them, I’m not the one doing the hiring.

3. They are geographically undesirable. Many people have great backgrounds but live in second tier markets. I have coached very talented people who happen to live in these areas. This plays a huge role in their ability to create career options. Last year I coached an absolute A+ individual in South Carolina. In any major market he would have seen incredible results. While he did eventually land a job, he had far less options than those living in major markets. So while it’s nice to have hundreds of affordable golf courses in your area, unless you are in the golf business, finding a good job may not be easy.

4. They let their egos get in the way of their success. I talk to a lot of people who just lost their jobs. They are adamant about staying at the level they were at when they were laid off. Their attitudes change drastically after 3-4 months of unsuccessful job hunting. I am not saying a former VP at IBM should take a job at a local bank. I am saying that people need to forget their past titles and be open to taking positions a notch or two down in the pecking order. Remember, the longer you are unemployed the harder it will be to find work. Explaining why you took a job you were overqualified for is easier than explaining why you haven’t worked in two years.

5. People lack the skills needed to find and compete for “good jobs”.
Across the board, this is the top reason 99% of all job seekers fail to find work. Every day, I see brilliant people with amazing backgrounds struggle to find meaningful work. They seemingly have it all and yet cannot secure interviews, let alone job offers. A great background and resume has significantly less to do with future career success than most people believe. Success almost always comes down to being an expert at what I call the 5 Steps in the Search Process. Unless you excel at all of them you will struggle. Most experts will have you believe the “silver bullet” is called networking. I strongly disagree. How many interviews have you landed using your network? How many offers? If you are like most people I speak with, the answer is not many.

Although the precise terms of the Court order will be announced later this week, the judgment is clear that the Court will order Newzbin to stop giving users access to the films and television programmes that belong to the member companies of the Motion Picture Association. In the ruling issued today, the court found that the UK-based company engages in copyright infringement even though the protected content does not reside directly on its website. Rather, Newzbin provides links to unauthorized copies of copyright works, including films, TV programmes, commercial software as well as other illegal content. Newzbin charges a monthly fee for subscribers to use its services and has built a substantial business based on copyright infringement.

“We welcome the Court’s decision today,” said Ted Shapiro, the Motion Picture Association’s general counsel for Europe. “Newzbin is a source of immense damage to the creative sector in the UK and worldwide. This is an important decision and it sends a clear message that websites focusing on providing viewers with pirated film and TV programmes infringe copyright and are liable for their actions even where those websites don’t themselves host the content. This decision will help to support the continued investment in new legal online services and the creation of new films and television shows for enjoyment by audiences both in the UK and around the world.”

The Court ruling clarifies the implementation of European legislation in the UK, finding that the services of Internet intermediaries are increasingly being used by third parties to infringe copyright, and that such parties are in the best position to bring such illegal activities to an end.

Shapiro said that the MPA remains committed to its core mission of encouraging and pursuing common-sense solutions that support the creativity of the motion picture industry and offer film fans the widest possible choice of movies and TV programmes to enjoy.

Q) If existing legislation can be used to address online copyright infringements, why do rights holders need the proposed clause 18 in the Digital Economy Bill?

A).  The industry has long stated that there are many issues that need to be addressed to reduce Piracy.   We are pleased this ruling has established that it is proportionate and reasonable for courts to order UK-based sites to implement measures to address online theft.

Now that the principle is beyond doubt, clause 18  in the Digital Economy Bill  will clarify a more efficient framework for delivering relief to rights holders promptly and that will reach sites outside of the UK.    In many cases – for example with a leaked pre-release film [or an untelevised sporting event] available online – time is of the essence. Clarification that we are able to go to court quickly and have the evidence assessed in time to prevent infringements happening, is very much to be welcomed.    Clause 18 has not been about creating new rights and obligations – the objective is to clarify the law and render it more effective.
